After graduating from law school, Phil practiced for eighteen years with two international accounting firms concentrating his practice on partnerships, LLCs and other tax pass-through entities in the energy and real estate industries in Texas, New York, Florida and New Jersey. Phil is also a licensed CPA.

Phil joined Schlanger Silver as a Partner in 2005. His practice continues to focus on structuring and advising clients on issues related to LLCs, series LLCs, partnerships, trusts and S corporations. Because these entities pass their taxable income through to their respective owners, Phil’s business and tax experience also extends to advising clients on the income tax and business effects associated with the ownership of the pass-through entities.

Phil also represents corporate clients involved in reorganizations including mergers, asset and entity acquisitions, liquidations, tax deferred exchange agreements and executive compensation agreements.

  • Structured a series LLC to permit non-physician investment in equipment and facilities for multiple physician group practices.
  • Advised and counseled client on IRS’ Offshore Voluntary Disclosure Program proceedings involving previously unreported foreign financial assets.
  • Structured and drafted agreements for numerous LLCs, limited partnerships and corporations to best complement both the business transaction and the financial goals of the investors associated with the entities.
  • Structured like kind and reverse-like kind tax free exchanges of real property interests.
  • Designed and drafted agreements for tax free mergers and acquisitions of corporations, partnerships and LLCs.
  • Structured and drafted agreements for dispositions of entities and their assets to obtain optimal tax results.
